Early Access Addendum to SeekOut Terms of Service

This Early Access Addendum (“Addendum“) supplements and is incorporated into the SeekOut Terms of Service (the “Agreement“). The following Section 16 is hereby added to the Agreement. Capitalized terms not defined herein have the meanings set forth in the Agreement.

16. EARLY ACCESS RELEASES

16.1 Use. SeekOut may, from time to time and in its sole discretion, offer Customer optional access to pilot, unreleased, beta, or early access features, products, or services (collectively, “Early Access Releases“). Early Access Releases are made available solely for the purpose of evaluation and testing by Customer. Customer’s use of any Early Access Release is voluntary and at Customer’s own risk. SeekOut may modify, suspend, or discontinue any Early Access Release at any time without notice or liability.

16.2 Feedback. As a condition of receiving access to Early Access Releases, Customer agrees to: (i) provide timely and reasonable feedback to SeekOut regarding the functionality, usability, performance, and any issues encountered with the Early Access Releases; (ii) designate appropriate testers within Customer’s organization to evaluate the Early Access Releases; and (iii) cooperate with SeekOut in tracking usage, bugs, errors, and other issues related to the Early Access Releases. SeekOut may use any feedback provided by Customer without restriction or obligation of any kind.

16.3 Disclaimer. EARLY ACCESS RELEASES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SEEKOUT MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE FUNCTIONALITY, RELIABILITY, AVAILABILITY, OR PERFORMANCE OF ANY EARLY ACCESS RELEASE. SEEKOUT WILL HAVE NO OBLIGATION TO PROVIDE SUPPORT, MAINTENANCE, UPDATES, OR BUG FIXES FOR ANY EARLY ACCESS RELEASE. IN NO EVENT WILL SEEKOUT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO CUSTOMER’S USE OF ANY EARLY ACCESS RELEASE. SEEKOUT MAY TERMINATE CUSTOMER’S ACCESS TO ANY EARLY ACCESS RELEASE AT ANY TIME AND FOR ANY REASON WITHOUT NOTICE OR LIABILITY.
